Morphos / Terms
Service Terms
How we work, what you own, what happens if something goes wrong. Plainly stated, so neither of us has to guess.
These terms govern the design, engineering and support services provided by Morphos Studio ("we", "us"). They apply from the moment a project is confirmed in writing, and they replace any earlier version. Where a signed proposal conflicts with these terms, the proposal wins.
What we do
We design, build and maintain websites and the systems around them — including motion and interaction design, front-end and back-end engineering, AI-assisted tooling, and ongoing support. The specific scope, deliverables and timetable for your project are set out in the written proposal you approve.
How a project starts
- Enquiry — you tell us about the place, the audience and any deadline that is not negotiable.
- Direction — we reply with an approach, a timeline and a fixed price. No obligation on either side until you confirm.
- Confirmation — a written acceptance (email is enough) starts the project and brings these terms into effect.
- Deposit — where a project exceeds a small threshold we ask for 40% before work begins, with the balance staged against delivery milestones named in the proposal.
What we need from you
A project moves at the speed of its decisions. To keep to the timetable we need timely feedback, the content and assets listed in the proposal, and one named person on your side who can approve work. Delays in those approvals move the timetable by at least the same amount; we will tell you as soon as we see one coming.
Revisions and scope
Two rounds of revision are included within each stage described in the proposal. A revision is a refinement of agreed work; a change of direction, a new page, a new language or a new integration is new scope. We will always price new scope in writing before doing it, and you are free to say no.
Intellectual property
- On final payment you own the delivered website design, the custom code we wrote for it, and the copy we produced for you.
- You grant us the right to show the finished work in our portfolio and to describe it factually, unless you ask us in writing not to.
- We keep ownership of our own pre-existing tools, internal libraries and generic components, and we license them to you permanently for use in the delivered site.
- Third-party assets (fonts, stock imagery, plugins, platform components) remain under their own licences; we tell you which ones a project uses.
Confidentiality
Anything you share that is not public — plans, pricing, guest data, credentials, unreleased material — stays confidential. We do not disclose it, and we do not reuse it on other projects. The same applies in reverse to our working methods and pricing. This obligation survives the end of the project.
Access, credentials and handover
You own your domain, your hosting account and your analytics. Where we hold access during a project we hold it in a password manager, we use it only for the work, and we hand it back or rotate it at the end. A handover document listing every account, service and renewal date is part of the delivery.
Support after launch
Unless your proposal says otherwise, delivery includes 30 days of post-launch fixes at no charge for anything that does not work as specified. Ongoing support is a separate monthly arrangement, cancellable by either side with 30 days notice. Errors caused by third-party platform changes, or by edits made outside our support, are not covered by the free period.
Timelines and delays
Dates in a proposal are commitments we plan against, not guarantees immune to circumstance. If we are delayed we tell you, we explain why, and we tell you what it costs you in time. If you are delayed beyond 60 days, we may invoice work completed to that point and re-plan the remainder.
Liability
We deliver with professional care, but our total liability for any claim connected with a project is limited to the fees paid for that project in the twelve months before the claim. We are not liable for lost profit, lost data you did not retain elsewhere, or indirect losses. Nothing here limits liability that cannot lawfully be limited, including for death, personal injury or fraud.
Ending the arrangement
Either side may end a project in writing. You pay for work completed and approved up to that date; we hand over everything produced to that point. If we end it without cause, you pay only for work you have approved.
Governing law
Projects with a UK client are governed by the law of England and Wales. Projects with a Swiss client are governed by the law of Switzerland. In either case we will try to resolve a disagreement directly and in good faith before anyone involves a court.
Questions about any of this are welcome before you commit to anything — email [email protected].
